Forced Hand: Delaware Judge Blocks Verisk’s Exit from $2.35B AccuLynx Deal
A Delaware Chancery Court ruled that Verisk Analytics cannot walk away from its proposed $2.35 billion acquisition of roofing software firm AccuLynx. Judge Bonnie David determined that Verisk’s own improper conduct caused regulatory delays with the FTC, making its attempt to terminate the merger invalid. The court ordered Verisk to seek FTC approval and proceed with closing the transaction.
